1. Agreement to Terms

By accessing or using Kuptero services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Kuptero services are operated by Kuptero Ltd, a company registered in the Republic of Ireland.

2. Description of Service

Kuptero provides a suite of cloud-based management tools including Kuptero Attend (attendance tracking), Kuptero Track (time and expense management), and Kuptero Register (class attendance and INIS compliance).

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Upload or transmit viruses or malicious code
  • Collect or harvest information about other users
  • Use the Service for any fraudulent purpose

5. Limitation of Liability

5.1 Data Accuracy

Kuptero is a tool for recording and managing data entered by users. Kuptero Ltd does not verify, validate, or guarantee the accuracy of any data entered into the platform, including time entries, attendance records, job costs, absence records, or any other information. The organisation and its users are solely responsible for ensuring the accuracy and completeness of all data entered.

5.2 No Liability for Data Errors

Kuptero Ltd shall not be liable for any loss, damage, penalty, fine, claim, or dispute arising from inaccurate, incomplete, incorrect, or fraudulent data recorded through the platform, whether caused by technical error, user error, or any other reason.

5.3 Attendance Records

Attendance records generated by Kuptero Attend are based on QR code scans performed by attendees. Kuptero Ltd makes no guarantee that a scan constitutes proof of identity or continuous presence. Organisations must not rely solely on Kuptero Attend records for legal, regulatory, compliance, or immigration purposes without independent verification.

5.4 Financial and Billing Decisions

Reports, WIP summaries, billing exports, and other financial outputs generated by Kuptero Track are provided for informational purposes only. They do not constitute financial, legal, or accounting advice. Any billing or financial decisions made based on data from Kuptero are the sole responsibility of the organisation.

5.5 Uptime and Data Loss

Kuptero Ltd will use commercially reasonable efforts to maintain service availability. However, we do not guarantee uninterrupted access to the platform. Kuptero Ltd shall not be liable for any loss of data, loss of revenue, or business interruption resulting from planned or unplanned downtime, data loss, or service degradation.

5.6 Organisation Responsibility

The organisation is responsible for:

  • Ensuring all employees use the platform correctly and honestly
  • Verifying that time entries, attendance records, and absence records are accurate before using them for billing, payroll, compliance, or legal purposes
  • Maintaining appropriate internal controls over data entered into the platform

5.7 Maximum Liability

In no event shall Kuptero Ltd's total cumulative liability to any customer exceed the total fees paid by that customer in the three months immediately preceding the claim, regardless of the form of action or the theory of liability.

5.8 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KUPTERO LTD DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM HARMFUL COMPONENTS.

6. Data Protection and Privacy

We are committed to protecting your personal data and respecting your privacy. Our collection, use, and protection of your personal information is governed by our Privacy Policy.

By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

7. Marketing Communications

Where an admin has opted in to marketing communications, their email address may be used to send product updates and news from Kuptero. This data will never be sold or shared with third parties.

You may opt out of marketing communications at any time by clicking the unsubscribe link in any marketing email or by contacting us directly.

8. Pricing and Payment

Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You may cancel your subscription at any time by contacting support@kuptero.ie. Cancellations take effect at the end of the current billing period and no partial refunds are issued.

Kuptero services operate on a subscription basis. Current pricing is available on our Pricing page. By subscribing to the Service, you agree to pay all applicable fees.

Fees are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms.

We reserve the right to change our pricing with 30 days' notice to existing customers. Price changes will not affect your current billing cycle.

9. Free Trial

We offer a 14-day free trial period. No credit card is required to start your trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

We reserve the right to modify or terminate the free trial offer at any time without notice.

10. Intellectual Property

The Service and its original content, features, and functionality are owned by Kuptero Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the data you input into the Service. By using the Service, you grant us a license to use, store, and process your data solely for the purpose of providing the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kuptero Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third party right
  • Any data you provide to the Service

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ireland, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of Ireland.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by email or through a notice on the Service.

Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
